One process, from idea to register entry
A Swiss GmbH or AG becomes a legal person only with its entry in the commercial register (Art. 779 and 643 CO). To get there, you need a company name, articles of association, share capital on a capital deposit account, a notarised deed of incorporation and a legal domicile. Many first-time founders choose the GmbH with CHF 20'000 share capital; the AG needs CHF 100'000, of which at least CHF 50'000 must be paid in.
We coordinate the formation with your seat in Zug: advice on the setup, all formation documents, the notary appointment and the filing with the commercial register of the canton of Zug. We advise you free of charge on choosing a bank for the capital deposit account. In the city of Zug, the effective profit tax for 2026 is 11.71%, the second lowest of all cantonal capitals after Lucerne (KPMG, Clarity on Swiss Taxes 2026).
Prices for all packages are under services and prices, more answers in the FAQ. For the GmbH in detail, see forming a GmbH in Switzerland.

How it works
Six steps to your Swiss company
We start preparing the documents as soon as you give us the mandate. The bank usually sets the pace.
Questionnaire and advice
You answer a short questionnaire on name, purpose, capital and the people involved. We check the name in the central business name index and discuss GmbH or AG with you.
Documents and onboarding
We prepare the articles of association, the share register and all declarations, and complete the anti-money laundering onboarding with form F-01.
Capital deposit account
You pay the share capital into a capital deposit account at a Swiss bank. This step usually takes the longest.
Notarisation
The founders sign the deed of incorporation before a notary, in person or through a representative with a power of attorney.
Commercial register
The register enters the company, and the bank then releases the capital to the company's business account.
Transparency Register and registrations
The company reports its beneficial owners to the federal Transparency Register (Art. 9 TJPG). VAT and AHV registration follow where required.
within one month of the entry
We start on the documents as soon as you give us the mandate. How long it takes until the entry depends mainly on the bank and the commercial register.

How much does it cost to open a company in Switzerland?
With us, the Startup package costs CHF 1'290 one-off, plus VAT. Notary fees are included. The commercial register charges CHF 420 for a new GmbH or AG (GebV-HReg, annex no. 1.3), and any bank fees come on top. Then there is the share capital: CHF 20'000 for a GmbH, at least CHF 50'000 paid in for an AG. The capital is not a fee; after the entry, it is available to the company.
How long does it take to register a company in Switzerland?
We start on the documents as soon as you give us the mandate. How long it then takes until the entry depends mainly on the bank and the commercial register, so we do not promise a fixed timeframe. The capital deposit account usually takes longest, because the bank first checks the founders, the business model and the source of funds.
What are the requirements to open a company in Switzerland?
A GmbH or AG needs articles of association, share capital on a Swiss capital deposit account, a notarised deed of incorporation and a legal domicile in Switzerland. It must also be capable of being represented by a person resident in Switzerland: a managing director, board member or executive officer with access to the share register (Art. 814 para. 3 and 718 para. 4 CO).
Can I open a company in Switzerland online?
Largely, yes. Advice, documents and the anti-money laundering onboarding can be handled digitally. The deed of incorporation, however, must be notarised. If you cannot come to Switzerland, you sign a power of attorney at home, have it notarised and apostilled, and a representative signs for you at the notary.
How do I open a holding company in Switzerland?
A Swiss holding is a GmbH or AG whose main purpose is to hold participations in other companies, and it is formed in the same steps. Its key tax feature is the participation deduction: the profit tax is reduced in proportion to the income from participations of at least 10% or with a market value of at least CHF 1 million (Art. 69 DBG).
