Contract conditions and legal basis of Office Group Zug GmbH

I. Scope

1. These General Terms and Conditions govern the relationship between clients (hereinafter referred to as "Client") and Office Group Zug GmbH regarding the use of its services.

2. Supplementary General Terms and Conditions may apply to specific services provided by Office Group Zug GmbH. In case of any ambiguity, please contact Office Group Zug GmbH.

II. General Provisions

3. Office Group Zug GmbH supports entrepreneurs with a variety of services.

4. Information regarding the range of products and services, as well as pricing, can be found at www.myoffices.ch.

III. Scope of Services

5. Office Group Zug GmbH offers clients a selection of service packages as described in the price list.

6. Upon request, Office Group Zug GmbH provides the Client with a formal registered office at its business premises.

7. The Client intends to establish their registered office or a branch office at the premises of Office Group Zug GmbH.

8. Office Group Zug GmbH provides additional services upon request, provided these are feasible and legally permissible.

9. The Client grants Office Group Zug GmbH power of attorney to receive correspondence and official notices. Additional services will be agreed upon separately.

10. Office Group Zug GmbH will inform the Client about further offers and services within the applicable legal framework.

11. Services provided by Office Group Zug GmbH will only commence once the Client has fully completed the AMLA onboarding process. This includes, in particular, signing form F-01, submitting all required attachments, and fully disclosing the beneficial owners. The Client is obligated to report any changes to the provided information and documents within 30 days of such changes occurring.

IV. Liability

12. The provision of services does not grant the Client any rights beyond those explicitly provided.

13. The Client assumes full liability for any damages arising from the use of the services. Office Group Zug GmbH is not liable for any damages incurred by the Client.

14. The use of the services does not imply any endorsement or support of the Client's business activities by Office Group Zug GmbH.

15. Office Group Zug GmbH covers rental and personnel costs; no further payment obligations exist.

16. In the event of address changes, Office Group Zug GmbH will cover costs for the Client up to an amount of CHF 200.

V. Prices and Payment Terms

17. Services must be paid for upon receipt of the respective invoice. Rates and billing periods are defined in the contract.

18. Payments are due within 30 days of the invoice date. Late fees may be charged.

19. In the event of late payment, the provision of services may be suspended.

20. Office Group Zug GmbH is entitled to engage third parties for the processing and collection of outstanding debts. In particular, it is entitled to assign claims arising from the contractual relationship to fairpay ag or another specialized collection agency for processing and collection, or to commission them with the collection of claims.

21. The Client bears all costs in the event of late payment, including default interest.

22. The Client acknowledges and agrees that Office Group Zug GmbH and third parties commissioned by it, in particular Intrum AG, may process data necessary for the establishment, execution, and termination of the contractual relationship as well as for debt management. This includes, in particular, the transmission of identification, contact, contract, and payment data to Intrum AG.

23. The Client further agrees that Intrum AG may, within the scope of its own responsibility, conduct credit checks, process data in its credit database, and process corresponding information about the Client. The data may be used, in particular, for assessing creditworthiness, preventing abuse, and processing and enforcing claims.

Intrum AG acts as a recipient in its own right regarding this credit data. Further information on processing by Intrum AG can be found in their privacy policy.

This consent may be revoked at any time with future effect. The legality of data processing carried out prior to the revocation remains unaffected. Statutory retention obligations and the processing of data for the assertion, exercise, or defense of legal claims remain reserved.

24. Starting from the 2027 calendar year, a compliance fee of CHF 100 per company per calendar year will be charged. The compliance fee will be invoiced with the first invoice of the respective calendar year.

VI. Commencement, Duration, and Termination of the Contract

25. Contracts enter into force upon signature and receipt of payment.

26. Contracts renew automatically; notice periods must be observed.

27. Price changes will be communicated via email and are considered accepted unless objected to.

28. In the event of payment delays exceeding 30 days, Office Group Zug GmbH may withdraw from the contract.

29. In the event of unfair business practices, the agreement may be terminated without notice.

30. Upon termination of the contract, Office Group Zug GmbH may announce the dissolution of the Client's registered office.

VII. Data Protection Provisions

31. Office Group Zug GmbH processes personal data for the purpose of contract fulfillment, billing, conducting AMLA onboarding, fulfilling legal obligations, and safeguarding its legitimate interests.

32. Details regarding data processing, in particular the purposes, categories of personal data, recipients, retention periods, and the rights of the data subjects, are regulated in the privacy policy of Office Group Zug GmbH. This is available at www.myoffices.ch/privacy.

33. Within the framework of legal provisions, the Client has the right to the deletion of their personal data, subject to statutory retention obligations, in particular under the Anti-Money Laundering Act (AMLA), as well as subject to the processing of data for the assertion, exercise, or defense of legal claims.

VIII. Website Content, Blog, and Downloads

34. The content published on the Office Group Zug GmbH website, in particular blog articles, guides, templates, and other information materials, is for general information purposes only. It does not constitute legal, tax, or business advice and does not establish a mandate or advisory relationship.

35. Office Group Zug GmbH strives to ensure the accuracy and timeliness of the published content but assumes no liability for its completeness, accuracy, or currency. In particular, legal frameworks may change after publication without the respective article being updated.

36. Documents and templates offered for download, such as checklists and forms, are provided "as is." They serve as working aids and do not replace individual professional advice. Use is at the user's own risk.

37. To the extent permitted by law, Office Group Zug GmbH excludes all liability for damages arising from the use of or reliance on the content published on the website or the documents provided for download.

38. All content published on the website, including text, graphics, logos, and downloadable documents, is protected by copyright. Reproduction, distribution, or any other use beyond personal use requires the prior written consent of Office Group Zug GmbH.

IX. Miscellaneous

39. Unless otherwise stipulated, the provisions of the Swiss Code of Obligations apply.

40. Should any provision be invalid, the remainder of the contract remains valid.

41. Changes to the General Terms and Conditions will be communicated to the Client and published on the website. They are considered accepted if the Client does not object in writing within 30 days of notification. In the event of an objection, Office Group Zug GmbH is entitled to terminate the contractual relationship in compliance with contractual and legal provisions.

42. The place of jurisdiction is the registered office of Office Group Zug GmbH; Swiss law applies.
